SupportACircle, LLC PRIVACY POLICY & TERMS OF CONDITIONS AGREEMENT

1. Our Commitment to Privacy

This Agreement contains the privacy policy and all of the terms and conditions between SupportACircle, LLC (hereinafter, “SupportACircle,” “we,” or “our”) and you (“You”, “user”, “site user”, or “valued user”) and governs the use of the service offered at the SupportACircle Mobile Application, including but not limited to domains and extensions at https://www.supportacircle.com/ (the “Website”) and other SupportACircle web properties. Please read this Agreement before using the SupportACircle Mobile Application. Use of the Mobile Application constitutes an agreement with these Terms & Conditions (this “Agreement”), whether or not you register or make use of our service. If you wish to register and make use of the SupportACircle services (the “services”), then please read this Agreement. By using our Mobile Application, all users do hereby represent, warrant, understand, agree to and accept all terms and conditions contained herein, including as changed from time to time.

SupportACircle operates to serve all Mobile Application users. We hold privacy in the highest regard and have developed this Agreement (hereinafter, “Agreement”, “Privacy Policy,” and “Terms and Conditions”) to demonstrate our commitment to protecting your privacy and emphasizing our Terms and Conditions. This Agreement exists to be as clear and straightforward as possible because we know that you care about how your information is used and shared. Our aim for you – a valued user of our Mobile Application – is to feel informed and empowered with respect to your privacy and the information you choose to share with us.

This Agreement describes how we collect, use, and share information about you and is designed to assist you in understanding how we collect, use and safeguard the information you provide to us and to assist you in making informed decisions when using our Mobile Application, website, or communicating with us. This Agreement applies to all information received by SupportACircle both online and offline, on any Platform, (“Platform”, includes the SupportACircle Mobile Application, website, and social media), as well as any electronic, written, or verbal communications.

2. Acceptance of Our Privacy Policy and Terms & Conditions Agreement

This Agreement is an electronic contract that sets out the legally binding terms of your use of our Mobile Application. By using our Mobile Application and/or visiting our website, including becoming a registered user of our Mobile Application, you agree to this Agreement.

3. Eligibility

This Agreement is available only to individuals and companies that can form legally binding contracts under applicable law.

SupportACircle does hereby disclaim any liability whatsoever for any misstatements and/or misrepresentations made by any users of the Mobile Application. Users do hereby represent, understand and agree to hold SupportACircle harmless for any misstatements and/or misrepresentations made by any users of the SupporTACircle Mobile Application. Misstatements and/or misrepresentations are grounds for immediate termination of your use of the Mobile Application. SupportACircle reserves the right to immediately terminate the account of any person or entity that logs into our Mobile Application without legal authority or ability to do so.

IT IS YOUR RESPONSIBILITY TO CONFIRM THAT YOU HAVE THE RIGHTS TO CONNECT YOUR E-MAIL TO OUR SERVICES. BY CONNECTING A WORK E-MAIL TO OUR SYSTEM, YOU REPRESENT THAT YOU HAVE OBTAINED ALL NECESSARY CONSENT FROM THE APPROPRIATE PARTY AND THAT YOUR ORGANIZATION HAS READ AND CONSENTED TO THIS AGREEMENT. BY USING OUR WEBSITE OR MOBILE APPLICATION, YOU CONSENT TO OUR COLLECTION AND USE OF YOUR PERSONAL INFORMATION AS DESCRIBED IN THIS AGREEMENT.

4. Release

SupportACircle will not be held responsible and expressly disclaims any liability whatsoever for any claims, demands or damages direct or indirect of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes in relation to the use of the SupportACircle Mobile Application. By using the SupportACircle Mobile Application, you do hereby represent, understand, and expressly agree to hold SupportACircle harmless for any claim or controversy that may arise from any disputes between you and any other users of the Website or the Mobile Application. SupportACircle will use its reasonable efforts to monitor the Mobile Application, including actions, comments, and general usage of the Mobile Application and suspend privileges to any user not adhering to the policies stated herein.

5. Non-Soliciation

The Mobile Application, and related services provided by SupportACircle may not be used by any person to recruit for another website, solicit, advertise, or contact in any form, users for employment, contracting, or any other purpose for a business not affiliated with SupportACircle without express written permission from SupportACircle. Should SupportACircle find that you violate the terms of this section or any terms stated herein, SupportACircle reserves the right to terminate your use of the Mobile Application at its sole discretion at any time, and further reserves the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

6. Limited License

SupportACircle grants users a nonexclusive, revocable right to use the Mobile Application provided that users do not (i) copy, modify, create a derivative work of, or otherwise attempt to discover any source code, (ii) modify or attempt to modify the Website or Mobile Application in any manner or form, or (iii) violate any term in this Agreement. In addition, you must not without our written permission: (a) translate the Website or the Mobile Application into other languages (or attempt to do so); (b) use or copy any material from the Website or the Mobile Application, including, but not limited to, onto other websites or in other mobile applications; or (c) frame any of the Website or the Mobile Application onto your own or another person’s website or mobile application.

7. No Warranty

The information and materials contained in the Mobile Application, including text, graphics, information, links or other items are provided “as is”, “as available”. SupportACircle DOES NOT WARRANT THE ACCURACY, ADEQUACY OR COMPLETENESS OF THIS INFORMATION AND MATERIALS AND EXPRESSLY DISCLAIMS LIABILITY FOR ERRORS OR OMISSIONS IN THIS INFORMATION AND MATERIALS. NO WARRANTY OF ANY KIND, IMPLIED, EXPRESSED OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS, TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND FREEDOM FROM COMPUTER VIRUS, IS GIVEN IN CONJUNCTION WITH THE INFORMATION AND MATERIALS.

8. Limitation on Liability

 

Under no circumstances will SupportACircle or SupportACircle’s agents and employees, officers, directors, corporate partners, or participants be liable for any damages, including without limitation direct or indirect, special, incidental, or consequential damages, losses or expenses arising in connection with this Website or the Mobile Application, any information received from the Website or the Mobile Application, any email distributed to any user or any linked website or use thereof or inability to use by any party, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if SupportACircle, or representatives thereof, are advised of the possibility of such damages, losses or expenses. Users release SupportACircle and its agents, officers, directors, corporate partners, and employees from claims, demands and damages (actual or consequential) of every kind and nature, known and unknown, disclosed and undisclosed, arising out of or in any way connected with any such disputes. This limitation on liability hereby expressly absolves SupportACircle from any and all liability relating to disputes between users and merchants relating to the validity or acceptance of coupons.

SupportACircle is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, or failure of email on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to users or to any other person’s computer related to or resulting from participating or downloading materials in connection with the Website, the Mobile Application, and/or in connection with the services. Under no circumstances will SupportACircle or any of its affiliates, advertisers, promoters or distribution partners be responsible for any loss or damage, including personal injury or death, resulting in any way from anyone’s use of the Website, the Mobile Application, or the services, any content posted on the Website, or transmitted to users, or any interactions between users of the Website or the Mobile Application, whether online or offline. The Website, the Mobile Application, and the services are provided “AS-IS” and SupportACircle EXPRESSLY DISCLAIMS ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF ANY KIND WHATSOEVER. SupportACircle, LLC cannot guarantee and does not promise any specific results from use of the Website, the Mobile Application, and/or the services.

In addition to the preceding paragraph and other provisions of this Agreement, any advice that may be posted on the Website is for informational purposes only and is not intended to replace or substitute for any professional financial, medical, legal, or other advice. SupportACircle makes no representations or warranties and expressly disclaims any and all liability concerning any treatment, action by, or effect on any person following the information offered or provided within or through the Website or the Mobile Application. If you have specific concerns or a situation arises in which you require professional or medical advice, you should consult with an appropriately trained and qualified specialist.

9. Indemnification

By agreeing to the terms of this Agreement, users of the Website and/or Mobile Application agree to indemnify, defend and hold harmless SupportACircle, its directors, officers, employees, agents, investors, licensors, attorneys, independent contractors, providers, subsidiaries, and affiliates from and against any and all claims, loss, expense or demand of liability, including attorneys’ fees and costs incurred by SupportACircle and affiliates in connection with any claim by a third party (including any intellectual property claim) arising out of (i) materials and content you submit, post or transmit through the Website or the Mobile Application, or (ii) use of the Website or Mobile Application by you in violation of these Terms & Conditions or in violation of any law. Users further agree that they will cooperate as reasonably required in the defense of such claims. SupportACircle and affiliates reserve the right, at their own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by users, and users shall not, in any event, settle any claim or matter without the written consent of SupportACircle. Users further agree to hold harmless SupportACircle and its affiliates, as well as, if applicable, the user’s employer or anyone who pays for the services on the user’s behalf, from any claim arising from a third party’s use of information or materials of any kind that users transmit through or post to the Website.

10. Information You Provide to Us

For purposes of this Agreement, Personal Information means any information or set of information that identifies or could be used by or on behalf of SupportACircle to identify a natural or legal person. Personal Information does not include information that is encoded, aggregated, anonymized or publicly available information that has not been combined with non-public, Personal Information. SupportACircle may collect information, specifically your name and email address, when you use our Website, create an account on our Mobile Application, edit your account information on our Mobile Application, or use features on the Platform. This helps us operate and offer or provide you with our high-quality services. This also provides a better experience for you when you use our services. In addition, if you communicate with us in any way, we will collect that information in order to respond to your request, feedback, or question. For example, if you choose to correspond with us through email, we may retain the content of the email messages that you send to us together with your email address and our responses to you.   • Maintain the security of your access to our Mobile Application;

  • Resolve any potential technical issues that may have occurred;

  • Notify you via e-mail of information about the services we offer or provide;

  • In an ongoing effort to better understand visitors to our site and users of our services, we may analyze other information in aggregate form in order to operate, maintain, manage, and improve our services. 12. How Your Information is Shared

We will not sell or share your information, including Personal Information, with third parties for the third party’s own direct marketing purposes. We may share your information, including Personal Information:

  • To offer you services, such as access to our Mobile Application and Website;

We cannot guarantee the security of our databases, nor can we guarantee that the information you supply will not be intercepted while being transmitted to and from us over the Internet and, therefore, you should take special care in deciding what information you send to us via the Platform. Personally identifiable information will not be shared with parties except as required by law. Information that is not personally identifiable may be shared with others on an aggregate basis that preserves user anonymity. However, please be assured that if this Agreement does change in the future, we will not use the Personal Information you have submitted to us in a manner that is materially inconsistent with this Agreement, without your prior consent.
